(BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY AND THE LIABILITY OF OUR AFFILIATES, AGENTS AND LICENSORS IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) \nPlease read the following section carefully. It requires you to arbitrate disputes with USPN LLC and limits the manner in which you can seek relief from us. This Section of this Agreement under the heading \u201cDispute Resolution\u201d shall be referred to as the \u201cArbitration Agreement\u201d.<\/strong>
\n(a) Scope of Arbitration Agreement. You agree that any dispute or claim against USPN LLC, or its affiliates, subsidiaries, owners, officers, directors, employees, agents or represenatives relating in any way to your access or use of the Site, to any products or services sold or distributed through the Site, or to any other aspect of your relationship with USPN LLC will be resolved by binding arbitration, rather than in court,<\/strong> except that (1) you may assert claims in small claims court if your claims qualify, so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis; and (2) you or the USPN LLC may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents).
\n(b) Arbitration Rules and Forum.<\/strong> This Arbitration Agreement is governed by the Federal Arbitration Act in all respects. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent, The Corporation Trust Company, Corporation Trust Center 1209 Orange Street, Wilmington, New Castle County, Delaware 19801. The arbitration will be conducted by JAMS under its rules and pursuant to the terms of this Terms of Service Agreement. Disputes involving claims and counterclaims under $250,000, not inclusive of attorneys\u2019 fees and interest, shall be subject to JAMS\u2019s most current version of the Streamlined Arbitration Rules and procedures available at http:\/\/www.jamsadr.com\/rules-streamlined-arbitration\/<\/a>; all other claims shall be subject to JAMS\u2019s most current version of the Comprehensive Arbitration Rules and Procedures, available at http:\/\/www.jamsadr.com\/rules-comprehensive-arbitration\/<\/a>. JAMS\u2019s rules are also available at www.jamsadr.com<\/a> (under the Rules\/Clauses tab) or by calling JAMS at 800-352-5267. Payment of all filing, administration, and arbitration fees will be governed by JAMS\u2019s rules. If the arbitrator finds that you cannot afford to pay JAMS\u2019s filing, administrative, hearing and\/or other fees and cannot obtain a waiver of fees from JAMS, USPN LLC will pay them for you. In addition, USPN LLC will reimburse all such JAMS\u2019s filing, administrative, hearing and\/or other fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. Likewise, USPN LLC will not seek attorneys\u2019 fees and costs in arbitration unless the arbitrator determines the claims are frivolous. If JAMS is not available to arbitrate, the parties will select an alternative arbitral forum. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the country where you live or at another mutually agreed location.
\n(c) Arbitrator Powers.<\/strong> The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to any claim that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and USPN LLC. The arbitration proceeding will not be consolidated with any other matters or joined with any other proceedings or parties. The arbitrator will have the authority to grant motions dispositive of all or part of any claim or dispute. The arbitrator will have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum\u2019s rules, and this Terms of Service Agreement (including this Arbitration Agreement). The arbitrator will issue a written statement of decision describing the essential findings and conclusions on which any award (or decision not to render an award) is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The arbitrator\u2019s decision is final and binding on you and USPN LLC.
\n(d) Waiver of Jury Trial.<\/strong> YOU AND USPN LLC WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND RECEIVE A JUDGE OR JURY TRIAL. You and the USPN LLC are instead electing to have claims and disputes resolved by arbitration, except as specified in subsection (a) above. An arbitrator can award on an individual basis the same damages and relief as a court and must follow this Terms of Service Agreement as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is limited.
\n(e) Waiver of Class or Consolidated Actions.<\/strong> ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor USPN LLC is entitled to arbitration. Instead, all claims and disputes will then be resolved in a court as set forth in the section below entitled \u201cMiscellaneous.\u201d
\n(f) Opt Out.<\/strong> You may opt out of this Arbitration Agreement. If you do so, neither you nor USPN LLC can force the other party to arbitrate. To opt out, you must notify USPN LLC in writing no later than 30 days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your username (if any), the email address you used to set up your account (if you have one), and an unequivocal statement that you want to opt out of this Arbitration Agreement. You must send your opt-out notice to: USPN, 2802 N Carroll Ave. APT 4109, Dallas, TX 75204, Attn Legal or legal@uspolitics.news. If you opt out of this Arbitration Agreement, all other parts of this Terms of Service Agreement will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have, or may enter into in the future, with us.
\n(g) Survival.<\/strong> This Arbitration Agreement will survive any termination of your relationship with the USPN LLC.
\n(h) Modification<\/strong>. Notwithstanding any provision in this Terms of Service Agreement to the contrary, we agree that if USPN LLC makes any future material change to this Arbitration Agreement, it will not apply to any individual claim(s) that you had already provided notice of to us.<\/p>\n\n\n\n
\nThis Terms of Service Agreement have been made in and shall be construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws provisions. To the extent the parties are permitted under this Terms of Service Agreement to initiate litigation in a court, both you and USPN LLC agree that all claims and disputes arising out of or relating to this Terms of Service Agreement or your use of the Site will be litigated exclusively in the state or federal courts located within the Commonwealth of Virginia. Our failure to exercise or enforce any right or provision of this Terms of Service Agreement shall not constitute a waiver of such right or provision. Subject to section (e) of the Arbitration Agremeent, if any provision of this Terms of Service Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Terms of Service Agreement shall remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or this Terms of Service Agreement must be filed within one year after such claim or cause of action arose or be forever barred.<\/p>\n\n\n\n
